FEMOVA — TERMS & CONDITIONS (AGB)

1. Scope & Applicability

These Terms & Conditions (“AGB”) govern all services offered under the Femova ecosystem, including:
- the femova.co website
- the Femova web application (app.femova.co)
- Femova community platform
- Digital programs
- Events (online and in-person)
- Subscription memberships
- Access-based digital recognition badges (NFT format)
- The optional 8-Year Mission program
(collectively, the “Services”).
By accessing or using any Femova Services, you agree to be bound by these AGB. Deviating terms apply only with express written approval by Bkwik GmbH.
These AGB form a binding agreement between the user (“Member”, “You”) and Bkwik GmbH (“Femova”, “We”, “Us”).

3. Eligibility, Registration & Account Requirements
============================================================
3.1 Users must meet all applicable minimum age and legal capacity requirements under local law.
3.2 Registration data must be complete and accurate. Members are responsible for updating outdated or incorrect information.
3.3 You are responsible for maintaining the confidentiality of login credentials. Femova is not liable for unauthorized account use due to user negligence.
3.4 Femova reserves the right to restrict, suspend, or terminate accounts if:
- fraudulent or abusive behavior is suspected
- Terms are violated
- legal, regulatory, or compliance requirements demand action

4. Service Overview & Membership Plans

Femova offers three types of membership:

4.1 Community Membership (Free)

- Price: CHF 0
- Access to: Community platform, limited events (up to 10 free events per member; availability not guaranteed)
- Excludes: product bundles, gift cards, Upgraded digital assets (NFT), mission access

4.2 Standard Membership (Paid Monthly)

- Price displayed at checkout
- Monthly renewals until cancelled
- Access: community, events (capacity-dependent), selected digital resources
- Product bundle eligibility: begins after **3 consecutive paid months**
- Cancellation: anytime, effective at the end of the current billing period

4.3 Upgraded Membership (NFT Access)

- All Standard benefits included
- Unlocks Femova Digital Recognition Badge (NFT format) after 3 consecutive paid months
- Unlocks access to the optional 8-Year Mission
- Rewards and partner benefits per §6

5. Prices, Billing & Refund Policy
============================================================
5.1 All prices are displayed in CHF.
5.2 Memberships renew automatically every month unless cancelled.
5.3 If a payment fails, access may be paused or terminated until the issue is resolved.
5.4 Fees for already-started billing periods are non-refundable unless required by mandatory law.

6. Product Bundles, Gift Cards & Rewards
============================================================
6.1 Bundles and gift cards may be issued by third-party partners. Femova is not responsible for third-party policies, delays, or availability.
6.2 Eligibility for bundles and rewards requires:
- 3 consecutive paid months
- an active and uninterrupted subscription
6.3 Referral points and appreciation rewards:
- are symbolic recognition tokens, not financial instruments
- hold no monetary value
- are not guaranteed
- may change or be discontinued

7. Special Rules for Upgraded Membership & 8-Year Mission

7.1 Qualification Rules

To unlock the Femova digital recognition badge (NFT format), Members must complete:
- 3 uninterrupted paid months without failed payments
If the subscription lapses, the qualification period resets.

7.2 Femova NFT — Legal Classification & Purpose
------------------------------------------------------------
To comply with Swiss law and avoid classification as a financial product:
- The Femova NFT is **purely symbolic**
- It represents mission participation and recognition
- It has **no monetary value**
- It is **not intended for resale**
- It is **not a security, investment, deposit, or financial instrument**
- It grants access to mission utilities only

7.3 The 8-Year Mission — Overview
------------------------------------------------------------
The 8-Year Mission is a voluntary program designed to support long-term climate and sustainability initiatives.
Key points:
- Program targets (e.g., 3,840 t CO₂e reduction) are **aspirational**, not guaranteed
- Environmental outcomes depend fully on partner performance
- Femova provides updates but does not certify environmental results
- No measurable or financial outcome is promised or guaranteed

7.4 Mission Recognition Benefit (“CHF 4,000 Benefit”)
------------------------------------------------------------
To remain compliant with FINMA and avoid financial-product designation:
- Any “CHF 4,000” reference refers strictly to a **mission recognition benefit**
- It is symbolic appreciation for full completion of the mission
- It is NOT:
- a return
- dividend
- investment yield
- interest
- guaranteed payout
- Its availability, form, and conditions may change based on legal, program, or operational factors
Members who exit early or fail to complete the mission are **not eligible** for this recognition benefit.

7.5 Early Cancellation of 8-Year Mission
------------------------------------------------------------
Members may request to withdraw early.
If approved:
- All mission-related recognitions must be returned or revoked
- NFT (digital recognition badge)
- any symbolic mission benefits
- All future mission benefits are forfeited
- No refunds for the current billing cycle
- Femova may revoke, disable, or burn related digital tokens

7.6 Regulatory or Legal Termination
------------------------------------------------------------
If regulatory, compliance, or legal conditions require termination:
- Access ends immediately
- NFT and mission utilities may be revoked
- Member has no further claims

8. General Cancellation Rules
============================================================
Community: may be ended anytime
Standard: cancellable anytime, effective end of billing period
Upgraded: cancellable anytime; mission exit rules apply if active
Members may cancel via account settings or by emailing: support@femova.co

9. Events, Conduct & Media
============================================================
9.1 Event entry depends on capacity, RSVP, and identification if needed.
9.2 Code of Conduct:
- Respectful, lawful behavior required
- No harassment, threats, or disruptive acts
Violations may result in removal without refund.
9.3 Media Notice:
Events may be photographed or recorded.
Members may opt out by notifying Femova in writing prior to the event.

10. ESG & Sustainability Project Partners

Femova collaborates with external partners such as Trees Life International Ltd. (TLI).
Femova:
- does not perform planting itself
- relies on partner data
- cannot guarantee tree survival, CO₂ values, or measurable outcomes
Impact metrics provided are best-effort and may change.

11. Third‑Party Services
============================================================
Femova may use external providers including:
- Wix
- Google (Analytics, reCAPTCHA, Workspace)
- Jitsi
- Amilon
- Trees Life International Ltd
- Other SaaS tools
Femova is not liable for outages, changes, or failures of these services.

12. Intellectual Property
============================================================
All trademarks, content, designs, and software belong to Bkwik GmbH.
Users may not modify, copy, redistribute, reverse engineer, scrape, or exploit any Femova content.

13. Warranty, Availability & Liability
============================================================
13.1 Services are provided “as is” and “as available.”
13.2 Femova does not guarantee:
- uninterrupted access
- specific outcomes or impacts
- future updates or features
13.3 Liability Limit:
To the extent permitted by law:
- no liability for indirect, consequential, or incidental damages
- total liability is limited to subscription fees paid in the last 6 months
13.4 No liability for partner organizations, third‑party tools, or their actions.

14. Consumer Withdrawal Rights

EU withdrawal rights for digital content apply where required.
Switzerland:
No general statutory withdrawal right unless contractually granted.

15. Privacy & Cookies
============================================================
Data is processed according to Femova’s Privacy Policy and Cookie Policy.
Users may adjust cookie preferences any time.

16. Changes to Services or AGB
============================================================
Femova may adjust prices, features, or these terms.
Material changes will be communicated when legally required.
Continued use after effective changes = acceptance.
